 This is a remote position.
The base salary range for a Counsel--Vendor Management & Privacy role is 61,800--114,200. Actual salaries will vary by geographic location and are based on factors such as candidate's qualifications, experience, skills, competencies, and company equity. In addition to base compensation, this role is eligible for an annual incentive plan based on company performance and individual performance.
Overview
This position will support the Company's vendor procurement process by working directly with members of management and vendors on the contracting process, including coordinating negotiations for new contracts, amendments and renewals.
Essential Duties
 Review contracts with vendors and partners to identify gaps in privacy controls and other obligations. Ensure contract compliance.
 Review contracts to ensure IT Security language is at industry standard and enhanced as needed
 Review contracts and vendor agreements to determine data flows to and from third parties and ensure contractual language is effective for such data flows
 Review contracts as to necessary language in regards to the usage of Generative AI technology in the insurance industry
 Work directly with vendors to coordinate contract negotiations, amendments and renewals
 Work with business stakeholders to get Data Processing Addendums and Business Associate Agreements executed with relevant vendors
 Review and draft amendments to complex insurance contracts as needed
 Partner with Finance to ensure vendor contracts meet all appropriate budgetary requirements
 Other duties as assigned
Required Knowledge, Skills and Abilities
 Must have familiarity with HIPAA and state and federal data privacy laws
 Must have background in contract law, contract drafting, and familiarity with SAAS contracting
 Outstanding communication skills, both oral and written, with the ability to engage a wide range of audiences
 Ability to be a key business partner
 Analytical ability to interpret statutes, regulations, insurance policies and other contracts
 Decision-making ability to set work priorities and make recommendations
 Strong negotiation and diplomacy skills, unquestionable integrity, strong work ethic, strong business acumen, and good judgment
Required Education and Experience
 Juris Doctor Degree from an accredited law school. Maintains an active license to practice law.
 2+ years of experience as a practicing lawyer
 Or, equivalent military experience
Preferred Education and Experience
 5+ years of experience as a practicing lawyer
 Experience in Insurance Regulation and/or experience in highly regulated environment or industry
 Experience with insurance carriers supporting dental, life, and/or disability insurance products, or insurance industry generally
 CIPP Certification
