At Regions, the Corporate Development Mergers and Acquisitions Lead provides leadership of the merger, acquisition, and divestiture process across all major lines of business. Critical to this role is partnering with line of business and functional partners to develop M&A strategy; evaluate, research, and source opportunities; manage diligence; execute transactions; transition to transaction integration; and monitor performance relative to transaction objectives.
Primary Responsibilities
 Serves as M&A Lead for small to medium acquisition transactions, ensuring successful execution from diligence through closing
 Develops and maintains relationships with Regions functional teams to ensure appropriate diligence of potential opportunities
 Sets direction and provides oversight of quantitative and qualitative analysis required to support transactions
 Serves as project lead for corporate strategic analysis on company wide initiatives.
 Helps partner with lines of business and senior executives to develop bank and non-bank M&A strategy
 Helps with the development of pipeline of potential acquisition opportunities
 Ensures the M&A team, and its partners adheres to Regions governance standards
 Helps manage Associates and Analysts in developing quantitative and qualitative analysis required to support transactions
 Reviews output of team to ensure it adheres to the M&A teamÂs standards
 Develops and provides oversight for development of Board and Executive-level communications
 Communicates with Executive team, business and functional partners, and external advisors
 Provides strategic and qualitative reviews of potential transactions and assesses fit relative to Regions Strategic Plan
This position is exempt from timekeeping requirements under the Fair Labor Standards Act and is not eligible for overtime pay.
This position is incentive eligible.
Requirements
 BachelorÂs degree in a related field
 Minimum of eight (8) years of experience in professional corporate finance advisory functions, financial services, finance, accounting, management consulting, or investment banking
Preferences
 MasterÂs degree
 Advanced certification such as Certified Public Accountant (CPA) or Chartered Financial Analyst (CFA)
Skills and Competencies
 Ability to build advanced data sets and analyze data
 Ability to build advanced financial models for mergers and acquisitions and proformas
 Ability to effectively communicate and present data to senior internal partners at Regions
 Ability to effectively communicate and present data to senior members of the Corporate Development team
 Ability to effectively guide work of the M&A analyst on the team
 Ability to effectively work in a team environment
 Ability to lead projects within the group independently including guiding/managing M&A Associate and M&A Analyst
 Advanced Excel skills
 Advanced Power Business Intelligence (BI) skills
 Advanced PowerPoint skills
 Advanced understanding of accounting concepts related to banking
 Advanced understanding of bank balance sheet and income statement
 Advanced understanding of Corporate Finance concepts specific to Bank M&A
 Advanced understanding of how to analyze strategic value of M&A targets
 Advanced Visual Basic for Applications (VBA) skills
 General understanding of Corporate Finance concepts specific to Bank M&A, including: Earnings per share (EPS) Accretion Analysis, Internal Rate of Return (IRR) analysis, Net present value (NPV) analysis, and Tangible Book Value (TBV) Dilution and Payback Analysis
 Moderate understanding of capital allocation for banks
This position is intended to be onsite, now or in the near future. Associates will have regular work hours, including full days in the office three or more days a week. The manager will set the work schedule for this position, including in-office expectations. Regions will not provide relocation assistance for this position, and relocation would be at your expense.
Compensation Details
Pay ranges are job specific and are provided as a point-of-market reference for compensation decisions. Other factors which directly impact pay for individual associates include: experience, skills, knowledge, contribution, job location and, most importantly, performance in the job role. As these factors vary by individuals, pay will also vary among individual associates within the same job.
The target information listed below is based on the Metropolitan Statistical Area Market Range for where the position is located and level of the position.

Incentive Pay Plans:
This role is eligible to participate in the annual discretionary incentive plan. Employees are eligible to receive a discretionary award based on individual, business, and/or company performance.
